Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring annual basis depending on the type of subscription plan selected. At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or Apex Meridian cancels it. All patient data processed through the Service remains the property of the subscribing clinic. Apex Meridian does not access, use, or disclose patient records for any purpose other than technical delivery of the Service. We are committed to supporting doctor-patient confidentiality as a fundamental principle, not merely a compliance requirement. Clinics are responsible for obtaining appropriate patient consents as required by applicable law.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach the Terms. Upon termination, your right to use the Service will immediately cease. You may request a data export before termination. Patient records will be retained for 30 days post-termination to allow data retrieval, after which they will be permanently deleted.
In no event shall Apex Meridian Private Limited, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from your access to or use of or inability to access or use the Service.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.
